in the business environment acquired a more serious touch of realism than ever before. Unconventional business models demonstrated the ability to displace traditional ones. Businesses became wary not of traditional competitors but of competition coming from the unknown. Never before did it seem more likely that no business is immune to obsolescence. While businesses have been seized with the need to be prepared to grapple with such imminent and inevitable phenomena, their challenges have been compounded by increasing incidence of regulation and enforcement. In such times, the General Counsel and Corporate Counsel community would perhaps regard it as incumbent upon them to think beyond maintaining status quo. Organizations would be looking up to them for help in anticipating changes, narrowing down the realm of the unknown that will cause disruption, and in adapting to rapid changes in the business and regulatory environment. Legal departments would perhaps focus more than ever before on becoming more agile, leveraging technology, data and analytics to streamline work, augment efficiencies and enabling business execution with speed. The GC will likely be thinking afresh on how to add value to every aspect of business, from strategy to decision-making and execution. Additionally, the global trend of GCs becoming more confident in taking up non-traditional roles and responsibilities will also hopefully trickle down to India. The 2015 General Counsel Excellence Report (U.S. Edition) found that General Counsels in the U.S. are expanding responsibilities to include directorship, risk management and regulatory compliances. In India, given the GC’s growing criticality to business, this year may be the opportune time for Indian GCs to consider adding non-traditional responsibility areas such as coordination and management of the board activities, public policy and advocacy, risk assurance, and the like, and equally to ponder on what to do in this regard so that businesses feel comfortable in reposing confidence in the GCs for such newer responsibilities. There is research that points to the fact the GC is becoming extremely critical in India as well. Professor David Wilkins of Harvard Law School has made observations based on some preliminary research done by him and his team that the “in house counsel movement”, essentially, “the dramatic growth in size, prestige, and influence of internal legal counsel in U.S. corporations,” is becoming global and can be seen in countries like India too, resulting in the “rise of the corporate legal elite” in BRIC countries like India. It is the onus of the General Counsel and Corporate Counsel community in India to ensure that this ascendant path is the way to go in this year and beyond. And, towards that, it will be imperative for us to examine how we will continue to be relevant to the business in these rapidly changing times and how we should reinvent ourselves through re-skilling and re-equipment.
