acknowledged, Zorro Trust uta March 1, 1993, as amended ("Assignor"), assigns and
transfers to Cypress, Inc., a Virgin Islands corporation ("Assignee") all right, title, and
interest of Assignor associated with and in the real property described on Exhibit A to
this Assignment, including, without limitation, all rights of access, easements, water
rights, mineral rights, leases, and claims, whether known or unknown.
1. Cooperation. Assignor and Assignee will, for no additional consideration,
sign any and all lawful documents or instruments and perform any and all other actions
necessary and appropriate to implement and make effective this Assignment.
2. Miscellaneous. This Assignment constitutes the entire agreement
between the parties, may be executed in counterparts, may only be amended in a
writing signed by both parties, is binding upon and inures to the benefit both parties and
their respective successors, assigns and representatives, and will be governed by and

conveyance that has been properly recorded with the county clerk's office.
c. A separate Change of Ownership of Water Right form shall be filed for each water right recorded in the

CHANGE OF OWNERSHIP INSTRUCTIONS
a. The "Owner of Record" of a water right is the current owner recorded in the State Engineer Office.
b. This form shall be completed by the new owner and shall be accompanied by a warranty deed or other
instrument of
conveyance that has been property recorded with the county cleric's office.
c. A separate Change of Ownership of Water Right form shall be filed for each water right recorded in the State Engineer
Office
by Permit. License, Declaration or Court Adjudication.
d. This form shall be filed in triplicate (3) and must be accompanied by the proper filing fee. Each form must have an
original
signature and each must be property notarized. A notary public is available in each water right district office at no
cost.
e. An original will be forwarded to the new owner with instructions to file it with the county clerk in the county in which
