Larry, We are told that Mr. Diaz is the beneficial purchaser, and he is paying in cash with his own money. He currently owns two MD-82's that he has leased to airlines, as well as a very large supply of engines that he also leases to airlines, as his primary business. He is buying the Aircraft to play with it, and may do some VIP Charter. Here is what they want to do. They want to write up the deal and then pay to have the aircraft brought to PBI for their "AS-IS" inspection. If they reject it, they will pay for cost to return to Stanbaugh and we are done. If they accept it, the Aircraft will re-position to a tax friendly location for a closing, which he tells me must be this year, and all of the cost to reposition the Aircraft to PBI and the Closing Location shall be credited towards the Purchase Price. He says we can write up terms or they can draft something themselves. I think we should do it so we can be concise. This is appearing to be a very straight forward deal. They do know they are buying the Aircraft As-Is, however they do expect the aircraft to be current with all items functioning normal. They know about the part on the air stairs on order.
