Epstein, as Amended. Dear Mr. Bly: You are hereby notified that you are in default of that certain Promissory Note by you, dated February 16, 2010, payable to the order of Jeffrey E. Epstein (the "Lender") in the original principal amount of Three Hundred Thousand Dollars ($300,000), as amended by the First Amendment of Promissory Note, effective June 16, 2010, by and between you and the Lender, and as further amended by the Second Amendment of Promissory Note, effective August 11, 2010, by and between you and the Lender (the "Note"). Demand is hereby made upon you for full payment of the entire outstanding principal balance of the Note in the amount of Three Hundred Thousand Dollars ($300,000), plus all accrued but unpaid interest thereon, amounting to Three Thousand Dollars ($3,000) as of November 1, 2010 and continuing to accrue at the rate of One Hundred Ninety Seven Dollars and Twenty-Six Cents ($197.26) per day. If payment of the entire outstanding balance on the Note, including, without limitation, all then accrued but unpaid interest, is not received on or before November 10, 2010, the Lender will be forced to pursue any and all available remedies to recover the same, including, without limitation, any and all remedies under the Membership Interest Pledge Agreement executed by you in favor of the Lender in connection with the Note, as well as formal legal proceedings. Please be advised that pursuant to the provisions of the Note and the Membership Interest Pledge Agreement, you are liable to the Lender for all of the out-of-pocket expenses, including, but not limited to, attorney's fees and disbursements, incurred by the EFTA00725557 Lender in connection with the enforcement of the Note and/or the Membership Interest Pledge Agreement.
