This seems fine but I would change two things. I would change the reference to the $50 million
investment in downtown from Andrew telling me to the fact that he mentioned it to you, John and
me when we met at our office. Also, I did not so much as "confront" Frank as present him with
the facts.

andrew these are the facts as we now know them, I only have your best interests at
heart. I really do. Your credibilyt with the people down here is being seriously
eroded. I promise, First frank tells Rich, to look in the documents it is all there,
and after numerous quesitons he says that rich doesnt' understand accounting,
Only after pushing further and harder it turns out that in fact there is an error of
around 360k ,only half owed to me. Then frank tells cecile , the purchase info is
all in the documents, just read them. you will understand, what happened , when
cecile comes back to him, and says, andrew told jeffrey only last month that he
didn't know the co who sold us ayh„ I then forwarded your email that said it was
a partnership controlled by a co called sun resorts . Frank said just read the
appraisal it is all there in black and white , ( no pun intended ) . as you may recall
cecile used to be a local banker, so she did read the appraisall tobe shocked to
find that I, it stated the seller was sun resorts , ( i understand it was a partnership
affiliate ) which IGY had bought. the appraisal initiated before may , when i
purchased my interst and completed in june said that the property was only worth
21 million and the balance was likely due to the purchase of all the additional sun
resorts interests. by IGY.?? oy,
When confronted Frank changed his tune and said please now, ignore the report. it is

full of errors. cecile did speak later to mark, and liked him, I told her to go
easy as IGY was not full of money, she said that you had told her that you had 50
million to invest downtown, so she didn't understand the worry, We can find no
mention in any of our documents that disclose the seller was at the time of sale to
me , was an IGY entity in some or any form. cecile has asked for the due
diligence prior to the contract between igy and sun for ayh, and has yet to receive
one piece of paper.
THis is of course Seperate and apart from IGy taking out the 4 .5 million while i
received only 250k, a later occurence.
I trust you, have no misunderstanding of that , I think this probably got away from
you, as you were otherwise occupied, I also know you are sincere in your
feelings towards me . so see you next week, don't stress, .
