B. Services to be Provided under the ASAs s. Al 1 1. Bookkeeping and Reporting (a) Maintaining books and records relating to trusts, investments, partnerships and accounts. (b) Maintaining tax information, including cost basis. (c) Preparing financial statements. (d) Arranging for, and reviewing, valuations. (e) Providing information to comply with Apollo and securities law reporting. (0 Assisting tax filings. (g) Providing support in connection with any audit. (h) Assisting in the preparation of accountings. 2. Monitoring Trust Activity Assisting in GRAT annuity payments. Ensuring interest and principal payments on promissory notes are timely made. Confirming the validity of, and ensuring the trusts timely meet, all capital calls. Accounting for all investment revenues including dividends, distributions and refunds. Interracting with Outside Professionals (a) Coordinating services among outside professionals, as directed by Trustees. (b) Monitoring work. (c) Reviewing invoices. (d) Reviewing agreements. 5. Investments (a) Reviewing and analyzing investment opportunities. (b) Preparing reports with respect to investment—related matters. Term (a) May be terminated by either the family office or the Trustees with _ days notice. (b) May be terminated by both parties upon mutual agreement. 2. Fees (a) A stated amount, paid quarterly, for services falling within schedule of services. (b) Adjustments to stated fee (annually), either based on re-assessment of experience or indexed for inflation.
