ASSIGNMENT
For good and valuable consideration, the receipt and sufficiency of which are
acknowledged, Zorro Trust uta March 1, 1993, as amended ("Assignor"), assigns and
transfers to Cypress, Inc., a Virgin Islands corporation ("Assignee") all right, title, and
interest of Assignor associated with and in the real property described on Exhibit A to
this Assignment, including, without limitation, all rights of access, easements, water
rights, mineral rights, leases, and claims, whether known or unknown.
1. Cooperation. Assignor and Assignee will, for no additional consideration,
sign any and all lawful documents or instruments and perform any and all other actions
necessary and appropriate to implement and make effective this Assignment.
2. Miscellaneous. This Assignment constitutes the entire agreement
between the parties, may be executed in counterparts, may only be amended in a
writing signed by both parties, is binding upon and inures to the benefit both parties and
their respective successors, assigns and representatives, and will be governed by and
construed under New Mexico law without regard to New Mexico's choice of law
provisions.
