PALM BEACH TRUST
APPOINTMENT OF SUCCESSOR TRUSTEE
WHEREAS, Epstein Interests (f/k/a the J. Epstein Foundation) ("Epstein
Interests") is the Charitable Remainderman of the Palm Beach Trust (the "Trust"),
which was created pursuant to the Trust Agreement of the Trust dated June 28,
1995 (the "Trust Agreement");
WHEREAS, pursuant to the authority granted under the Trust Agreement,
Epstein Interests, as the Charitable Remainderman of the Trust, desires to appoint
Richard Kahn as the successor Trustee of the Trust, effective as of the date hereof;
and
WHEREAS, Richard Kahn desires to accept such appointment and to serve as
the successor Trustee of the Trust, effective as of the date hereof;
NOW, THEREFORE,
1. Epstein Interests, as Charitable Remainderman of the Trust, hereby
appoints Richard Kahn to serve as successor Trustee of the Trust, effective as of
September 1, 2010.
2. Richard Kahn hereby accepts such appointment and agrees to serve as
the Trustee of the Trust, effective as of September 1, 2010, subject to and in
accordance with the provisions of the Trust Agreement of the Trust
