Regading 11.1(D), I just received the following from our client:
11.1(D) should read as follows;
(D) If under Applicable Law, Buyer is required to withhold Taxes from the Purchase Price or any other
payment under this Agreement, Buyer shall withhold such Taxes pursuant to Applicable Law and remit such
Taxes to the relevant Tax Authority. Buyer shall provide Seller with tax receipts. Seller will not reimburse
Buyer for such Taxes.

is actually the correct party for this sentence and if it was a typo?
