AIRCRAFT BROKERAGE AGREEMENT This Aircraft Brokerage Agreement is entered into between JEGE, LLC (hereinafter "Seller") and AVILOOP LLC (hereinafter "Broker"), effective as of the l ye day of August, 2018. WHEREAS Seller desires to employ the services of Broker to market and sell that certain Gulsfstream Aerospace G-IV aircraft, manufacturer's serial number 1085, U.S. registration number NI 20JE (the "Aircraft"), and Broker agrees to perform such services, upon and subject to the terms and conditions hereinafter set forth; NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants herein contained, the parties hereto, intending to be legally bound, hereby agree as follows: Seller hereby engages Broker, and Broker accepts such engagement and agrees, to provide services to market and sell the Aircraft, upon and subject to the terms and conditions hereinafter set forth: 1. The term of the engagement shall commence effective August 1, 2018 and expire on December 31, 2018, unless sooner terminated by Seller (the "Term"). 2. Broker will be responsible to pay the costs of any advertising or marketing it secures for the Aircraft, including, but not limited to, print and on-line advertising. 3. Broker will offer aircraft for at Three Million One Hundred Thousand U.S. Dollars (US $3,100,000.00), or at such other price as from time to time Seller shall direct Broker in writing. 4. Broker shall provide complete assistance to Seller with regard to escrow, contracts and closing. 5. Broker shall present all written offers to Seller, and acceptance shall be totally at Seller's sole, absolute and unfettered discretion. 6. Broker's fee for its services shall be One Hundred Thousand U.S. Dollars (US $100,000.00), and shall be earned only upon closing of a sale to a buyer procured through broker pursuant to this Agreement, provided that such sale closes during the term of this Agreement or within 60 days after the expiration or termination of the Term. 7. Any buyer or entity owned by such buyer whose identity is registered in writing with Seller by Broker during the term of this Agreement shall entitle broker to commission as provided in paragraph 6 above only if a purchase by such buyer or entity controlled by such buyer is closed within 60 days of the expiration or termination of this Agreement.
