ALKEON GROWTH PW PARTNERS, LP SERIES ONE AND SERIES TWO INTERESTS INSTRUCTIONS TO SUBSCRIPTION AGREEMENT Any person desiring to become a limited partner of Alkeon Growth PW Partners, LP (the Partnership") should: (a) complete and execute the attached Subscription Agreement (the "Agreement") including Appendix A (Electronic Communications) and Appendix B (Form W-9), offering to make a capital contribution on a specified date (the "Admission Date') in the amount set forth below his or her name at the end of the Agreement, and, if requested by the Partnership, Appendix G ("AML Requirements"); (b) execute the signature page of the Limited Partnership Agreement of the Partnership (the "Partnership Agreement"); and (c) e-mail the completed Agreement and si nature a e of the Partnership Agreement to Alkeon Capital Advisers, LLC at The Partnership will advise each subscriber promptly of its acceptance of any offer to become a limited partner of the Partnership and confirm the Admission Date, but Alkeon Capital Advisers, LLC, the general partner of the Partnership, has the right to refuse any offer to become a limited partner for any reason.
