"Uninvested Proceeds Account": The account established pursuant to Section 10.1(b) and described in Section 10.3(d). "Unsaleable Asset": (a) Any Defaulted Obligation, Equity Security, obligation received in connection with an Offer, in a restructuring or plan of reorganization with respect to the obligor, or other exchange or any other security or debt obligation that is part of the Collateral, in respect of which the Issuer has not received a payment in cash during the preceding 12 months or (b) any asset, claim or other property identified in a certificate of the Investment Manager as having a Market Value of less than $1,000, in each case with respect to which the Investment Manager certifies to the Trustee that (x) it has made commercially reasonable efforts to dispose of such Pledged Obligation for at least 90 days and (y) in its commercially reasonable judgment such Pledged Obligation is not expected to be saleable for the foreseeable future. "Unscheduled Principal Payments": All payments of principal (other than Sale Proceeds) received as a result of prepayments, redemptions, exchange offers, tender offers or other unscheduled payments with respect to Collateral Obligations. "U.S. Dollars " "dollars" or "U.S. $": The legal currency of the United States of America. "Vote": Any exercise of Voting Rights. "Voting Rights": Any request, demand, authorization, direction, notice, consent, waiver or other action provided by this Indenture or the Investment Management Agreement to be given or taken by Holders.
