Monitors will be interfaced to the below quoted Airshow 4000 unit for Airshow Mapping display.
The installtion will include an IFE On/Off switch installed in the cockpit to control the power to
the IFE system. Each monitor will be controlled by a didicated remote. A spare remote will be
provided for each monitor.
Mounting the monitors include installing the four flush mounted monitors with closeouts around the
displays and required access on location in Jacksonville, FL. The forward salon 32", middle salon
(round room) 22" , office 20" and bedroom 17" or 15" monitor closeouts will upholstered with the
same material (fabric) as existing in each of the four locations. Installation/structural drawings for
each install and an 8110-3 approving the installation will be provided.

Install a new Thrane and Thrane AV-300 System using the existing Aero I antenna existing on the
aircraft. The system provides a single channel for voice and a single channel for data (optional to use

Install a factory New Universal UniLink CMU interfaced to an ICG single channel Iridium
receiver and antenna for worldwide AFIS information coverage.
DESCRIPTION
UniLink is designed to be interfaced with and controlled through our color flat
panel display Flight Management Systems (FMS). UniLink's independent
menu-format software integrates seamlessly with the FMS and provides easy
access for sending or receiving data. Flight plans can be uplinked through
UniLink and loaded directly into the FMS. Position reports and other data
from the FMS can be automatically downlinked. For maximum flexibility any
custom configurations and software upgrades to UniLink remain independent
of FMS software and hardware certifications.
Communications may be routed through the aircraft's VHF, SatCom or airborne telephone systems.
The UniLink CMU affords datalink opportunities for messaging, flight plan uploading, pre-departure
and other clearances, automatic position reporting, ETA updates, digital ATIS and text weather
information such as TAF. METAR, SIGMETS, winds aloft and TWIP. Weather graphics can also be
uploaded to a graphics capable FMS Control Display Unit. These graphics can include displays of
composite radar, tops and movements, IR satellite images, significant weather, winds aloft and
IFR/MVFR depictions as well as icing and turbulence potentials.
The desired pertinent information and communication support for your flight is available through a
datalink service provider selected by you. We are working together with a number of datalink service
providers to develop the communication protocols which will allow you to take advantage of their
outstanding services directly through UniLink. We can develop similar arrangements with fleet
operators, as well.
UniLink also has been designed to meet the specific needs of airline operators, supporting all ACARS
message types including triggered events such as 000I time (Out, Off, On, In) and planned interface
with Digital Flight Data Acquisition Units.

pricing for an overhauled unit installed ranges from $25,000 to $35,000.

If it is required to install a shroud around the above quoted monitors for esthetic reasons, estimate $1,500
for each of the smaller monitors and $2,000 for the larger.
All of the new equipment will come standard with the full factory warranty. All equipment warranty
considerations must be coordinated by and/or approved in advance by Banyan Air Services, Inc. The
installation will carry a one year warranty.
This proposal does not include any freight charges, shop supplies, or tax (if applicable).
This proposal does not include any subscriptions (if required), however we can assist you in selecting the
best plan for your mission.
This does not include any required interior access or travel expenses.
Does not include any painting of effected areas (if required).
All removed equipment becomes the property of Banyan Air Service unless other arraignments are made
in advance.
This proposal does not include Banyan providing any stands, lifts, external ground power units,
compressed air, ladders, airport badges, airport training, and/or any fees or Hanger bay rental charges
that may be associated with performing this upgrade at the facility in Jacksonville
This proposal assumes that Banyan Air Service will have an office to work out of during this upgrade
project with Internet access and adequate secure storage for high value equipment.
This pricing does not include any delays for the installation that are beyond Banyan's control due to other
maintenance or scheduling issues. This lost labor will be invoiced to the customer as required at our
current published rate. (If necessary). Rate is $1,000.00 per day/per technician plus expenses.
All pricing include the facility in Jacksonville returning aircraft to service. We will return to service only
the avionics items contained in this proposal.
Banyan Air Service, Inc.'s policy requires a 50% deposit on all estimates regardless of customer's terms
when proposal is signed, a 25% progress payment when the project begins, with the balance due upon
completion. Discrepancies noted during completion of the above quoted items shall be presented to the
Company Representative for disposition.

Banyan's General Terms and Conditions
I. Conditions: The Terms and Conditions contained set forth herein constitute part of each Work Authorization and/or Service Order.
The Terms and Conditions set forth herein shall be applicable to all maintenance, repairs, modifications and services of every type(the
"Services") to be accomplished pursuant to each Work Authorization and/or Service Order and/or any amendment, revision or
supplement thereto (each an "Additional Service Request" or "ASR"). Customer confirms that the person signing each Work
Authorization and/or Service Order is authorized to do so and that Banyan may rely on each such signature. Customer will not, at any
time, assert or claim that the person signing each Work Authorization or Service Order did not have authority to do so and recognized
that each such person had the actual and apparent authority to do so. Each Work Authorization or Service Order, as the case may be, is
an instruction by the Customer to Banyan to perform such maintenance, repairs, modifications or services as therein set forth and the
irrevocable undertaking and commitment of the Customer to remit payment to Banyan, when and as billed or invoiced for all parts,
materials, supplies, labor and other charges, including applicable tax, and the assent to each and every term, condition and provision
hereof. CUSTOMER CONFIRMS THAT CUSTOMER HAS RECEIVED A COPY OF THESE TERMS AND CONDITIONS, HAS
READ AND UNDERSTOOD THESE TERMS AND CONDITIONS, AND ACCEPTS EACH AND EVERY TERM, CONDITION
AND PROVISION SET FORTH HEREIN.
2. Terms. The Work Authorization and/or Service Order (as applicable), and the terms and conditions set forth herein, and each ASR
executed subsequent to the Work Authorization and/or Service Order (as applicable) set forth the entire agreement between Banyan and
the Customer and may not be amended, modified or altered except by a written document signed by Banyan and the Customer, such as an
ASR. Pricing is based upon the assumption that the aircraft is in airworthy condition, that there exists adequate space for the installation
of any additional equipment that the Customer desires to have installed, and that the existing electrical/avionics interfaces and electrical
power will accommodate the modifications requested by the Customer. Pricing is also based upon the assumption that the aircraft wiring
schematic and technical drawings exist, are accurate and up to date, are consistent with the current configuration of the aircraft and that
existing structures will not have to be tested or modified in order to complete the work. In the event that the aforesaid assumptions are
incorrect the Customer will be responsible for the payment to Banyan of all additional costs, fees and expenses incurred. All
negotiations, discussions, conversations, agreements, understandings and representations preceding the execution of the Work
Authorization and/or Service Order are superseded by the Work Authorization and/or Service Order and Banyan and the Customer each
agree that the Work Authorization and/or Service Order exclusively set forth the entirety of the agreement of Banyan and the Customer,
and neither Banyan nor Customer shall rely in anything that is not specifically set forth therein. The cancellation of any request for work
or service, or for parts, materials, components and supplies, is subject to a restocking/service interruption charge.
3. Changes: Any change(s) in the work scope described in the Work Authorization and/or Service Order (as applicable), shall be set
forth in a written ASR signed by Banyan and Customer. Unless otherwise specified in writing, Customer authorizes its on-site
representative to execute ASR's on its behalf. Banyan shall not be obligated to perform any work at all unless and until an ASR is signed
by an authorized representative of Customer. Customer understands and agrees that the failure to timely execute an ASR may result in
the delay of the commencement, or completion, of work, and that any such delay shall not be attributed to Banyan and shall be deemed
force majeure for which Banyan shall have no liability.
4. Performance: All maintenance, repairs, modifications or services will be performed at Banyan's facilities at Fort Lauderdale
Executive Airport or at such other venue as Banyan may determine to be appropriate. All maintenance, repairs, modifications or services
shall be performed in accordance with Customer's General Maintenance Manuals if Customer has General Maintenance Manuals and
same are provided to Banyan prior to the commencement of maintenance, repairs, modifications or services. Banyan shall procure and
provide all supplies, materials or parts required for the performance of the maintenance, repairs, modifications or services which shall be
billed at Banyan's then current rates and in accordance with the provisions of the Work Authorization and/or Service Order.

5. Taxes & Duties: Customer shall pay all sales and other taxes and duties for all pans, labor, materials, supplies, maintenance, repairs,
modifications or services. If Customer is exempt, or claims to be exempt, from the payment of taxes and duties, then Customer shall
provide Banyan with proof os such exemption in a form satisfactory to Banyan. Pursuant to §212.08, Fla. Stats., the State of Florida,
under the conditions and limitations set forth therein, does not assess sales tax for certain services on aircraft which qualify for exemption
pursuant thereto.
6. Customer Incurred Charges: Customer shall reimburse Banyan for all long distance telephone calls, facsimile, postage and like
charges incurred by Customer's on-site representative or for the benefit of Customer, and for all shipping or freight charges incurred on
behalf of Customer.
7. Payment: Customer shall pay to Banyan for all parts, labor, materials, supplies, maintenance, repairs, modifications or services upon
presentation of each invoice or statement by Banyan. Unless otherwise specifically agreed in writing, all pans, labor, materials, supplies,
maintenance, repairs, modifications or services are COD. Banyan is authorized to retain possession of the aircraft, and all log book and
maintenance records until Banyan has received payment in full. All payments shall be in United States Dollars and shall be paid to
Banyan prior to the return of the aircraft to Customer. Banyan is authorized, at any time, to submit additional invoices or statements to
Customer for any charges or services for which Banyan was unable to invoice Customer or which were inadvertently omitted from, or
improperly documented in, a previous invoice, and Customer agrees to pay Banyan, in full, not later than ten (10) days from the
transmission of any such supplemental invoice or statement to Customer. If any sum payable to Banyan by Customer is not paid within
seven (7) days after the date when due, then (without prejudice to any other right or remedy available to Banyan at law, in equity or
otherwise) Banyan shall be entitled to interest on such sum at the rate ofone and one-half (1.5%) percent per month until paid in full.
8. Title: Risk of Loss or Damage: While the aircraft is at Banyan's facility for the performance of maintenance, repairs, modifications or
services, title to, and ownership of, the aircraft, shall at all times remain with Customer subject to Banyan's common law and statutory
rights to ensure payment. Customer shall at all times bear the risk of loss, or damage to, or loss of use of the aircraft, and any equipment
or item of Customer's personal property. Title to, and ownership of, all parts and materials supplied or furnished by Banyan shall remain
with Banyan until Banyan has been paid in full. Banyan is authorized to remove any parts, materials and components installed on the
aircraft in the event that Banyan has not been paid for same, and such parts, materials and components shall not become, nor be deemed
to be, accessions to the aircraft. Risk of loss or damage to all pans and materials supplied by Banyan shall pass to Customer when the
aircraft and/or such pans and materials are ready for re-delivery or are re-delivered to Customer.
9. Return Inspection and Acceptance of Servicefsl: Customer may, at Customer's sole risk and expense, perform an acceptance flight
test of the aircraft with a representative of Banyan on board. Banyan shall, at no additional charge to Customer, correct any defects
which are solely and directly attributable to defective workmanship of Banyan or defective parts or components installed in the aircraft
by Banyan. Customer's acceptance of the aircraft shall conclusively establish that all pans, labor, materials, supplies, maintenance,
repairs, modifications and services ofBanyan were satisfactory and that Banyan is entitled to payment.
10. Insurance: Customer, at Customer's expense, shall procure and maintain All Risk Aviation Hull Insurance, War Risk and Allied
Perils Aviation hull Insurance and All Risk (including Transit) Aircraft Spare Pans, Engines and Equipment Insurance to cover the value
of the hull with added value of the work covered by each Service Order and/or Work Authorization. Customer shall also maintain
Comprehensive Aircraft Liability Insurance (including Lloyd's of London Aviation Clause AV 52). Customer's insurance shall be
primary and shall be without any right of contribution from Banyan, shall provide a cross liability/severability of interests clause in favor
of Banyan, and shall contain a hold harmless provision and full waiver of underwriters rights ofsubrogation in favor ofBanyan.
II. Non-U.S. Aircraft: The Alteration Data Package for work or service performed on aircraft that are not registered in the

WORK SCOPE
United States will not include FAA Form 8110.3 unless any such work is performed pursuant to a Supplemental Type Certificate
approved by the Federal Aviation Administration in accordance with FAA Order 8110.47. The Customer shall obtain all
approvals for such work, service or alterations, at the Customers expense, from the Nation State on whose civil aircraft registry
the aircraft is enrolled.
12. Indemnification and Liability. Customer shall indemnify, defend, and hold Banyan, its officers, directors, agents, representatives,
subcontractors, shareholders, employees and assigns, harmless of and from any and all liabilities, damages, losses, expenses, claims,
suits, or judgments, including attorneys fees and expenses, for the death of, or bodily injury to, any person, firm or entity, and/or for the
loss of, damage to, or destruction of, any property (including, but not limited to, Customer's aircraft, engines and parts), arising out of the
performance by Banyan of labor, the installation of parts, materials, or supplies, or the performance of maintenance, repairs,
modifications and services. Customer's indemnification of Banyan shall not extend to any losses, damages, expenses, claims, suits or
judgments caused solely and directly by the gross negligence of, or willful misconduct of, Banyan.
13. NOTWITHSTANDING ANY OTHER PROVISION HEREIN, OR ANY WORK AUTHORIZATION OR SERVICE ORDER,
AND REGARDLESS OF WHETHER THE CLAIM OR FORM OF ACTION IS IN CONTRACT, TORT OR ANY OTHER FORM OF
ACTION WHATSOEVER, INCLUDING WITHOUT LIMITATION NEGLIGENCE OF BANYAN OR ITS SERVANTS, IN NO
EVENT WHATSOEVER SHALL BANYAN BE LIABLE FOR ANY (i) INDIRECT, INCIDENTAL OR CONSEQUENTIAL LOSSES
OR DAMAGES; (ii) LOSS OF USE, LOSS OF REVENUE OR PROFIT; or (iii) LOSS OF USE OR DIMINUTION OF VALUE,
SUFFERED OR INCURRED BY THE CUSTOMER ARISING OUT OF OR IN CONNECTION WITH THE PERFORMANCE OF
ANY WORK OR SERVICE WHATSOEVER BY BANYAN PURSUANT TO ANY WORK AUTHORIZATION, SERVICE ORDER
OR OTHERWISE
14. NOTWITHSTANDING ANY OTHER PROVISION HEREIN, OR ANY WORK AUTHORIZATION OR SERVICE ORDER,
AND REGARDLESS OF WHETHER THE CLAIM IS IN CONTRACT, TORT (INCLUDING NEGLIGENCE OF BANYAN) OR
ANY OTHER FORM OF ACTION WHATSOEVER, IN NO EVENT SHALL BANYAN BE LIABLE FOR ANY DAMAGES
LOSSES AND/OR JUDGEMENTS, INCLUDING COSTS AND EXPENSES, AND INDIRECT, INCIDENTAL OR
CONSEQUENTIAL LOSSES OR DAMAGES INCIDENT THERETO, ARISING OUT OF OR IN CONNECTION WI I ANY:
WAR, INVASION, ACT OF FOREIGN ENEMIES, HOSTILITIES OR WARLIKE OPERATIONS (WHETHER WAR BE
DECLARED OR NOT), CIVIL WAR, REBELLION, INSURRECTION, MARTIAL LAW, MILITARY OR USURPED POWER OR
ATTEMPTS AT USURPATION OF POWER; HOSTILE DETONATION OF ANY WEAPON OF WAR EMPLOYING ATOMIC OR
NUCLEAR FISSION AND/OR FUSION OR OTHER LIKE REACTION OR RADIOACTIVE FORCE OR MATTER; STRIKES,
RIOTS, CIVIL COMMOTION OR LABOR DISTURBANCES; ACT OF ONE OR MORE PERSONS, WHETHER OR NOT AGENTS
OF A SOVEREIGN POWER, FOR POLITICAL OR TERRORIST PURPOSES AND WHETHER THE LOSS OR DAMAGE
RESULTING THEREFROM IS ACCIDENTAL OR INTENTIONAL; ANY MALICIOUS ACT OR ACT OF SABOTAGE;
CONFISCATION, NATIONALIZATION, SEIZURE, RESTRAINT, DETENTION, APPROPRIATION, REQUISITION FOR TITLE
OR USE BY OR UNDER THE ORDER OF ANY GOVERNMENT (WHETHER CIVIL, MILITARY OR DE FACTO) OR PUBLIC
