Accordingly, attached please find the following documents: (1) A proposed term-sheet expressing the principal understandings between the parties. Kindly note that the proposed term sheet does not refer (at this stage) to the investment structure nor to the Director compensation. I suggest we summon a conference call (potentially the clients may participate) to discuss these additional aspects; (2) The company's current Cap table; (3). A report by a well-known expert reviewing the various professional aspects of the sought activity. The expert opinion made by Mr. Shlomo Tzach according to Mr. Barak's request (Mr. Barak has expressed his great esteem to Mr. Tzach and his work and named him as probably the best expert in this field); Further to the above, I suggest we move forward in two levels, in parallel, "full steam ahead": I. You will review the term-sheet and confirm the understandings/agreements contained therewith so that a formal agreement can be drafted based on these terms. Needless to say that should you have any comments/remarks/amendments - you are welcome to send them over so they can be integrated as well. 2. In parallel, we schedule a conference call to discuss un-discussed issues e.g. - holding/investment structure, directorship of Mr. Barak (incl. heading the board as a chairman, associated remuneration and time-line), potential tax aspects, etc. Waiting to hear from you soon we remain, Regards.
