RIN II • 094 Alpha Group Capital LLC other than those (i) which may arise at its option; or (ii) which are owed to the agent bank or Security Agent in relation to the performance of its duties under a syndicated Senior Secured Loan, Second Lien Loan or Unsecured Loan; or (iii) which may arise as a result of an undertaking to participate in a financial restructuring of a Senior Secured Loan, Second Lien Loan or Unsecured Loan where such undertaking is contingent upon the redemption in full of such Senior Secured Loan, Second Lien Loan or Unsecured Loan and which does not provide for the Borrower to advance further monies pursuant to the terms of such restructuring on or before the time by which the Borrower is obliged to enter into the restructured Senior Secured Loan, Second Lien Loan or Unsecured Loan and where the restructured Senior Secured Loan, Second Lien Loan or Unsecured Loan, satisfies the Eligibility Criteria; (n) it has a stated maturity that is no later than the Scheduled Maturity Date; (o) it is not an asset that requires the Borrower to give a surety and is not an asset that requires the Borrower to effect or endeavor to effect any contract of insurance; (p) it does not provide for amortization or prepayment at less than par; (q) it is not a letter of credit; (r) pc has a Moody's Rating that is not lower than 1331; (s) it is not a DIP Collateral Obligation or a Bridge Loan; (t) it is not a Current Pay Obligation; (u) it is not a Middle Market Loan; (v) it is purchased at a price at least equal to 85.0% of its par amount; (w) it is Registered; and (x) it is not a loan in respect of a new coal plant or a nuclear plant.
