DEED OF GIFT KNOW ALL MEN BY THESE PRESENTS: That Leon D. Black, residing at (the "Donor"), being the owner of a forty-eight percent (48%) fractional interest in the following work of art (the "Work"), with The Museum of Modern Art, (the "Museum") being the owner of a fifty-two (52%) interest in said Work, does hereby irrevocably and unconditionally give, transfer and assign, by way of gift, without limitation or restriction, to the Museum all of his right, title and interest in, arising from and to said Work of which he is the sole owner: Georges Braque (French, 1882-1963) Homage to J. S. Bach, winter 1911-12 Oil on canvas 21 1/4 x 28 3/4" (54 x 73 cm) Public Identification of Gift. Donor prefers that this gift be acknowledged as: "The Sidney and Harriet Janis Collection, acquired through the Nelson A. Rockefeller Bequest Fund and the Richard S. Zeisler Bequest (both by exchange), and gift of Leon D. and Debra Black." Affirmation of Title. Donor affirms that a) he has good and complete right, title, and interest in and to the Work; and b) he has full authority to give, transfer and assign his right, title and interest in and to the Work; and c) the subject of this gift is free and clear of all encumbrances and restrictions; and d) to the best of Donor's knowledge, the Work has not been imported or exported into or from any country contrary to its laws. 1 EFTA01194521 Documentation Relating to the Work. In addition, Donor agrees to transfer to the Museum all documentation, and share with the Museum all information, he has, if any, relating to the Work, including the ownership, display and restoration of the Work prior to the date of this gift, as well as any certificate of authenticity and any installation plans. The Museum certifies that it will use the Work in a manner related to and in furtherance of its charitable and educational purposes. This Deed of Gift and all matters relating to it shall be governed by the laws of the County and State of New York. This Deed of Gift shall inure to the benefit of, and shall be binding upon, the successors, heirs, executors and administrators of the parties hereto. Any dispute arising hereunder shall be resolved in the courts of the County and State of New York. IN WITNESS WHEREOF, I, Leon D.
