S- I/A Table of Contents USE OF PROCEEDS We estimate that we will receive net proceeds of approximately $2.9 billion from the sale of 160,000.000 shares of our Class A common stock in this offering, assuming an initial public offering price of $19.00 per share, the mid-point of the estimated price range set forth on the cover page of this prospectus, and after deducting the underwriting discounts and commissions. If the underwriters exercise in full their option to purchase additional shares. the net proceeds to us will be approximately $3.4 billion. We intend to use the net proceeds from this offering to redeem all $510 million aggregate principal amount of our 11.25% senior unsecured notes due 2021, approximately $2.0 billion aggregate principal amount of our 12.625% senior unsecured notes due 2021. and to pay applicable premiums and related fees and expenses. and for general corporate purposes. We have not yet determined whether we will repay such notes through tender offers, open market repurchases or nxtemption.
