DIVIDEND POLICY
We do not currently anticipate paying any dividends on our common stock immediately following this offering. Following this offering
and upon repayment of our outstanding indebtedness, we may reevaluate our dividend policy. My future determinations relating to our dividend
policies and the declaration, amount and payment of any future dividends on our common stock will be at the sole discretion of our Board and, if
we elect to pay such dividends in the future, we may reduce or discontinue entirely the payment of such dividends at any time. Our Board may take
into account general and economic conditions, our financial condition and operating results, our available cash and current and anticipated cash
needs, capital requirements, contractual, legal, tax and regulatory• restrictions and implications on the payment of dividends by us to our
stockholders or by our subsidiaries to us, and such other factors as our Board may deem relevant.
We paid dividends to FOR totaling $28 million. $686 million, and $4 million in 2013. 2014. and the six months ended June 30. 2015.
respectively. FOR used the proceeds from these dividends for the repayment of indebtedness (including a significant repayment in 2014), and the
repurchase of equity from departing employees. FDH did not pay any dividends on its common stock in 2013, 2014 or the six months ended June
30. 2015.
Because a significant portion of our operations is through our subsidiaries, our ability to pay dividends depends in part on our receipt of
cash dividends from our operating subsidiaries, which may further restrict our ability to pay dividends as a result of the laws of their jurisdiction of
organization. agreements of our subsidiaries or covenants under any existing and future outstanding indebtedness we or our subsidiaries incur. In
addition, our ability to pay dividends is limited by covenants in ow senior secured credit facilities and the indentures governing our senior notes.
