Subject: Special mini-investment Opt. in ISS - Might you be interested?
Date: Mon, 16 Jun 2003 20:23:31 +0000
Dear Ghislaine: STRICTLY CONFIDENTIAL INFORMATION.
Much as I would like to wave my magic wand and get Chiliad shares to be instantly MONEY, it will still be a
while yet before that event takes place... I still have to get my control of the company back.
In the meantime, I am helping the Institute of scientiific simulation - ISS as a Senior Partner -
I thought I would ask you whether you would be interested in a small investment
opportunity in ISS (the Institute of Scientific Simulation that I think I've mentioned to you before.) U meaning
between $5,000 and $15,000 dollars... - I've attached a sample Promissory Note - which is made out for an
investment of 10K...
This is a Promissory Note (see attached ISS Promissory Note.doc) for a 3X guaranteed return
(by end of a year) on your short-term investment, with the option of only taking the original amount in
return, with interest, and receiving the remaining 2X in ISS Series B equity.
If you read the Executive Summary attached and look at the Introductory power point and then at the Progress
Report, you will see how close ISS is to a very successful outcome in very short order - but it needs this bridge
loan to be able to close the proof of contract deals with the US government.
I'll be happy to answer any questions you may have about all this... It is important to understand that the Institute
is not a start up software company selling software. It's an Institute who is developing advanced technologies in
the modelling and simulation arena -of which the first is called ACES (Advanced Collaborative
Engineering System) - built on Intellectual Property owned by ISS and originally developed by David
Russell in a former company of his.
Anyway, so let me know what you think about this.. and whether you might like to come in on it.
If you do, however, you will need to make up your mind almost right away - as the offer closes tomorrow.
much love Christine
The Institute for Scientific Simulation, LLC ("ISS") was founded in July of 2001 to advance the development
and practical use of intelligent modeling and simulation software systems in science and engineering. Its focus
is on introducing intelligent modeling and simulation (" ') systems worldwide as the next generation of
systems software.
I. Mission and Objectives
The mission of the Institute for Scientific Simulation is to improve engineering enterprises through the use of
advanced modeling and simulation software. ISS will accomplish its mission by meeting three principal
objectives:
I) Acquire and enhance intelligent modeling and simulation software technologies
EFTA00578914
2) Promote its acquired technologies in U.S. government and commercial markets in order to obtain
application and service contracts for their validation and further development
3) Incubate new companies wishing to sell the products enhanced by ISS into specific technical vertical
markets, e.g., aerospace, civil/chemical/marine engineering, education, telecommunications, and the power
industries
ISS currently are offering a confidential private loan arrangement
(between $5K and $30K) to a few individuals who can help
"bridge" ISS to the completion of new contracts and the Private Placement Offering (PPM).
This is a Promissory Note (see attached ISS Promissory Note.doc) for a 3X guaranteed return
(by end of the year) on your short-term investment, with the option of only taking the original amount in return,
with interest, and receiving the remaining 2X in ISS Series B equity.
We are attempting to restrict this special offer to "friends of the
company" and it remains open only until we begin receiving funds from the
Membership subscriptions in the Series B round. If you can help us with
this, I believe the value of your return will be significant and we will be
able to close critical near-term contracts with the U.S. Navy and the
Department of Defense.
For your information, ISS (Institute for Scientific Simulation) is a California
LLC that is managed by several Senior Partners, with me as one of the
Partners, and David Russell as its Director. ISS has taken its first two years to
establish its business, build its initial infrastructure, and secure
critical intellectual property (the core software for ACES) of great
potential value to ISS. We have recently restructured the company for
Series B investments (as Members of the Institute) in a manner than can
deliver quarterly returns to Members, beginning within the next year, and
existing perpetually throughout the future of the Institute. This avoids
having "paper shares" that really have little value until some (higher risk)
"Exit Event" occurs. We believe this provides a compelling opportunity for
investors interested in receiving a potentially large, long-term reward for
their investment in our private Institute.
If you are interested and can make the time,David Russell would much appreciate
the opportunity to call you and discuss ISS. I have also attached an Abstract for a talk
he gave at the Pentagon and DARPA last week, entitled "Advancing Systems
Engineering through the Use of Intelligent Modeling and Simulation Systems":
Abstract. The fundamental methods and tools of systems engineering are
reviewed in the context of how they may be improved and extended through the
use of an intelligent modeling and simulation systems technology. An
overview is provided on a candidate for such a system, the Advanced
Collaborative Engineering System (4.eACES*). A real-world application of ACES
will be demonstrated.
If you would like to talk to David Russell so you can get more information about the offering, then please give
me some good telephone times - I will pass that information on to David so that he can give you a call. We need
this mini bridge
I so hope you will be interested.
warmest regards,
